            其實股權設置確實不是一門科學,而是一門藝術,它沒有固定的標準,目的是為了企業更好地成長,讓大家都受益,以下是一些較可行、合理的模式,僅供參考:

            (1)創始人絕對控股:

            創始人占三分之二以上,即67%的股權,合伙人占18%的股權,預留團隊股權15%;該模式適用于創始人投錢最多,能力最強的情況。

            在股東內部,絕對控股型雖說形式民主,但最后還是老板拍板,擁有一票決定/否決權。這種股權模式適合合伙人擁有核心技術,自己創業思路,掏了大多錢,自己的團隊自己的技術。

            創始人占51%的股權,合伙人加在一起占34%的股權,員工預留15%的股權。這種模型下,除了少數事情(如增資、解散、更新章程等)需要集體決策,其他絕大部分事情還是老板一個人就能拍板。

            這種模型主要適用于合伙人團隊能力互補,每個人能力都很強,老大只是有戰略相對優勢的情況,所以基本合伙人的股權就相對平均一些。

            適合:對于創始人來說這是一種無奈的選擇,創始人比較缺錢,聯合創始人或者投資人比較強勢,所以創始人只能保留一票否決權。

            (4)常見的兩個股東70:30,60:40,三個股東的話60:30:10,,50:30:20。這些的分配比例中大股東都能和二股東拉開一定的股權比例,有助于公司決策,避免遇到公司僵局。
