            在二元股權架構的基礎上,將公司的股東分為多個類型,創始人、合伙人、員工、投資人,資源股東等等。針對他們的權利進行整體性安排,以實現企業維護創始人控制權、凝聚合伙人團隊、讓員工分享公司財富、促進投資者進入等目標。

            相對于前兩種股權架構來說,多元架構能充分考慮企業各類主體間的利益關系,以及各類主體對企業本身的貢獻等多方因素,來指導股權的劃分思路,因此在此種架構下劃分股權能有利于公司整體的快速發展,而不是個別股東利益大化,同時也符合企業治理的需求。

            多元股權架構設計的思路主要有三大步驟:

            There are three main steps in the design of diversified equity structure:

            一步:將公司股權這一大蛋糕首先分出投資人和創始人的份額;

            Step 1: divide the shares of investors and founders from the company's equity cake;

            二步:考慮將剩余的蛋糕分給合伙人和員工,并且在合伙人和員工這兩部分蛋糕中,再根據個人對公司的貢獻細分每個人應得的股份;

            Step 2: consider distributing the remaining cake to partners and employees, and in the two parts of the cake, subdivide everyone's due shares according to individual contributions to the company;

            三步:查漏補缺,看按照前兩步分得的股權是否有不合理之處,進行調整。
