一.分紅權

1、 Dividend rights

這是基本的一個投資收益權。怎么理解？就是說公司今年有利潤，我就能夠分到利潤、分到分紅；公司沒有利潤，我就分不到分紅。比如說，如果是報表利潤全部進行分配的話，你給了我10%的分紅股股權，今年年底有100萬利潤，你就分我10萬，有1000萬利潤你就分我100萬。如果今年沒有利潤，是虧損的，那自然也就沒有辦法享受分紅權了。

增值權是什么意思？股東在推動公司業績、盈利能力和公司資產價值增長的過程中，股東的股價也在增值。

就是說我擁有了公司的股份，你每年有利潤給我分紅，這是我應得的分紅權。但是我一塊錢買了公司的股份，明年、后年，公司一直在壯大，業績一直在增長，盈利能力也在增加。在這種時候，我手里的這個股權，還是一元每股嗎？——它的價值可能是在增長的。今年營業額做一千萬，股價是一元每股，明年營業額變成兩千萬了，股價可能是兩塊錢一股，或者一塊五一股。這個權利就叫增值權。

溢價權是說這個股權可能按照凈資產作價，可能一股就兩塊錢，但是放在資本市場交易的時候，它可能會變成五塊錢。比如你們公司資產負債表顯示凈資產只有一千萬。
