關于股權的問題，很多人是缺少這方面的常識的，合伙之前如果不懂，后面往往吃大虧，我這里普及一下關于股權設計的幾條常識：

1、一定控制權67%，相當于100%的權力，可以修改公司章程/分立、合并、變更主營項目、重大決策；相對控制權51%，控制線，控制公司；安 全控制權34%，一票否決權。

2，核心合伙人團隊的股權分為資金股與人力股，資金股占小頭，人力股要占大頭。純粹按照資金出資比例是不合理的。

3，一定要簽協議，把雙方的股權比例，分工，責任，義務，都寫出來。雙方簽字蓋章。不愿意簽協議的都是不定因素。

4，一個團隊中要有老大，有老大，才有人決策，棘手的事情才能被決策。這也是股權不能五五分的根本原因。

我想說的是，開一個小店就不要想著合伙了，開店成功率很來就低，如果加上合伙人的內耗，成功率可能更低了。等你有了幾家店了，希望有大的發展了，引入合伙人是恰當的。 有一句話說得好，一個人跑得快，一群人跑的遠，說得就是這個道理。
