            常見的股權激勵模式介紹

            股權激勵可以根據企業實際來靈活賦予股權權能種類的多少由此就會使得股權激勵產生很多種激勵的模式。

            常見的模式主要分為三大類

            1、虛擬股份激勵模式

            該類股權只有分紅權(有的還帶有凈資產增值權),此類股權激勵不涉及公司股權結構的實質性變化。所以,此類股份也叫崗位股份(歷史上的晉商企業也叫身股)如虛擬股票激勵、股票期權模式等。

            2、實際股份激勵模式

            該類股權具有以上全部4種權能,此類股權激勵不僅涉及公司股權結構的實質性變化,而且會直接完善公司治理結構。所以,此類股份也叫實股(歷史上的晉商企業也叫銀股)。如員工持股計劃、管理層融資收購模式等。

            This kind of equity has all the above four kinds of power and function. This kind of equity incentive not only involves the substantial change of the company's equity structure, but also directly improves the corporate governance structure. Therefore, such shares are also called real shares (historically, Shanxi enterprises are also called silver shares).             3、虛實結合的股份激勵模式

            3. The stock incentive mode of the combination of virtual and real

            該類股權規定在一定期限內實施虛擬股票激勵模式,到期時再按實股激勵模式將相應虛擬股票轉為實際股票。

            This kind of equity stipulates that the virtual stock incentive mode shall be implemented within a certain period of time, and then the corresponding virtual stock shall be converted into actual stock according to the real stock incentive mode when it matures.
