我們做股權架構的時候，首先要明白，我們做任何事情都是為了把企業做成功。我們要思考一個命題，一個企業成功需要什么，而哪些要素是我一定需要用股權來解決的。如果說不需要用股權解決的，就沒必要那么麻煩，不需要考慮那么多。

一、團隊和公司都是需要人才的，沒有人會相信光有錢就能做成事。特別是現在這種創業公司、科技類的輕資產公司，其實人的重要性是非常大的。所以我把人放在一位，這也是我們的核心層。管理層創始團隊要知道普通員工其實都是人。其實這是一個要素。

二、要素就是資金，創業需要錢。
